We hope that your experiences with us are great ones with no troubles. Our service is a vehicle to meet other singles online or at one of our unique social events that we will provide monthly. By using The Social Place Corporation websites (the “Websites”) you agree to be responsible by our Terms of Use (this “Agreement”), as a registered member. If you wish to become a member of the Websites and use our services or attend our social events (the “Service”), please read the following Terms of Use and indicate your acceptance by accepting these terms during the registration process.

This Agreement sets out the legally binding terms of your use of the Websites and your membership in the Service and may be modified by The Social Place Corporation at any time, with all modification becoming effected once being posted on the Websites. This agreement will include the following sections:

• The Social Place Corporation's Terms of Use
• The Social Place Corporation's Security Policy 

The following is the Terms of Use that we ask all our members to follow in order for their membership to be active within the Websites.

Proprietary Rights in Contact on the Websites: The Social Place Corporation owns all rights to content published within the Websites and the Service. The Websites contains copyrighted material, logo trademarks, and all other proprietary information of The Social Place Corporation. For use of this information you must have written permission by The Social Place Corporation.  

Terms: This Terms of Use agreement will be in effect as long as you are a member of the Websites. You have the right to terminate your membership at any time by either calling our customer service or emailing our customer service of your termination. You must include the following for verification purposes in order for us to expedite your termination:

If this information is not provided or if it does not match your account on record, we will not terminate your account and we will contact you for the correct information. Upon receipt of termination, your account will be inactive or terminated once your prepaid month of service is up. Once your end of monthly membership is terminated all your membership privileges are terminated at that time. The Social Place Corporation has the right to terminate your membership for any reason, effective when The Social Place Corporation sends you an email to the address you registered with, or other emails that you might have changed once a member. Once your account has been terminated, it will be converted to a Free Membership status. If you would no longer like your profile displayed on our site, then you must state this when you terminate. If The Social Place Corporation cancels your membership based on a breach of this agreement, you will not be entitled to any refund of your membership fees that have been charged to your credit card. 

Membership Disputes: You are responsible for all your interactions with other members of the Websites. The Social Place Corporation reserves the right but has no obligations to monitor disputes between you and other members. These disputes must be solely resolved by you, as a member.

Member Privacy: All privacy information pertaining to members, please refer to our Privacy and Security Policy.

Membership Eligibility: In order to become a member of the Websites, you must be a minimum of eighteen years of age. By using the Websites, you represent that you have the right, authority and capacity to enter into this Agreement and to abide by all the Terms of Use of the Agreement.

Posted Content on the Websites: As a member, you must agree that The Social Place Corporation will review and evaluate all posted content, including member’s profile, pictures, or any message board contact posted by the member. If The Social Place Corporation feels that the content is offensive, illegal, or that might violate or harm other members of the Websites, we can delete or remove the content without question and terminate your membership upon our discretion. When posting content on the Websites, the following is illegal and prohibited to be posted within The Social Place Corporation Websites:

• Any racial slang, bigotry, harmful phrases or any pointing out of racial groups, religions, or ethnicity;
• Harassment of other members;
• Posting of material that exploits people under the age of 18, in a sexual or violent manner, or personal information of the minor;
• Soliciting of personal information for commercial or unlawful purposes;
• Promotes personal information that you know is false or misleading, thus using for unlawful or illegal activities;
• Any postings that involve the transmissions of junk email, chain letters or unsolicited mass emailing or spamming;
• Promotion of illegal use of another person's copyrighted material, pirated music or mp3 files;
• Providing instructional information about illegal activities such as violating someone’s privacy or making of computer viruses;
• Engaging in commercial activities such as selling products without written consent from The Social Place Corporation;
• You are entirely responsible for the content you post and The Social Place Corporation is not responsible for any content posted by members;
• By posting Content to any public area of the Websites, you automatically grant, and you represent and warrant that you have the right to grant, to The Social Place Corporation an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of the foregoing;
• Any telephone numbers, email addresses, urls or personal information about yourself;
• Any advertising of other products or services other than The Social Place Corporation;

Disclaimers: The Social Place Corporation is not responsible for any inaccurate information, whether caused by members or the Websites, posted on the Websites or in connection with the Service. Under no circumstances will The Social Place Corporation be responsible for any loss or damage, including personal injury or death, resulting from anyone's use of the Websites or the Service, any Content posted on the Websites or transmitted to Members, or any interactions between users of the Websites, whether online or offline. The Social Place Corporation is not responsible for any member's conduct, either on the Websites or at one of our social events, the Service. The Social Place Corporation assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, user or Member communications. The Social Place Corporation is not responsible for any problems or technical malfunction of any telephone network or lines, computer systems, servers or providers, computer equipment, software, failure of email, technical problems or traffic congestion on the Internet or at any Websites or combination thereof, including injury or damage to users and/or Members or to any other person's computer related to or resulting from participating or downloading materials in connection with the Web and/or in connection with the Service. The Websites and the Service are provided "AS-IS" and The Social Place Corporation cannot guarantee and does not promise any specific results from use of the Websites and/or the Service.

Indemnity: You agree to indemnify and hold The Social Place Corporation, its affiliates, officers, agents, and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the Service in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above.

This Agreement, accepted upon use of the Websites and further affirmed by becoming a Member of the Service, contains the entire agreement between you and The Social Place Corporation regarding the use of the Websites and/or the Service. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
